Introduction

These Terms & Conditions govern the use of PrimeS4 websites, software products, applications, services, and consulting offerings.

By accessing or using PrimeS4 services, products, or websites, you agree to comply with these terms.

Products and Services

PrimeS4 provides consulting services, software products, accelerators, cloud applications, and AI-powered solutions including but not limited to:

  • SmartInspect
  • WarehouseX
  • PRIVA
  • SmartEvaluate
  • SmartImprove
  • SAP implementation and support services

PrimeS4 may enhance, modify, or discontinue services at its discretion.

User Responsibilities

Users are responsible for:

  • Maintaining account security.
  • Protecting credentials and access information.
  • Ensuring lawful use of services.
  • Complying with applicable regulations and policies.

Intellectual Property

All software, content, documentation, trademarks, branding, and intellectual property associated with PrimeS4 products remain the property of PrimeS4 Technologies LLC or its licensors.

No rights are granted except as expressly provided through customer agreements.

Data Ownership

Customer operational and business data remains the property of the customer.

PrimeS4 does not claim ownership of customer business information processed within customer environments.

Service Availability

PrimeS4 will make commercially reasonable efforts to maintain service availability and reliability.

Scheduled maintenance, upgrades, and third-party service interruptions may impact availability from time to time.

Third-Party Platforms

PrimeS4 solutions may integrate with third-party platforms including SAP, Microsoft, cloud providers, and other approved services.

PrimeS4 is not responsible for outages or failures originating from third-party platforms.

Confidentiality

Both parties agree to maintain the confidentiality of non-public information exchanged during service delivery.

Support Services

Support services are provided according to applicable customer agreements and support plans.

Limitation of Liability

To the maximum extent permitted by law, PrimeS4 shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of its products or services.

Termination

PrimeS4 reserves the right to suspend or terminate access for violations of these terms, non-payment, security concerns, or contractual breaches.

Governing Law

These Terms & Conditions shall be governed by the applicable laws and jurisdiction specified within the relevant customer agreement.

Amendments

PrimeS4 reserves the right to update these Terms & Conditions periodically.

Continued use of PrimeS4 products and services following publication of updates constitutes acceptance of the revised terms.

Introduction

Welcome to PrimeS4. These Terms and Conditions govern your access to and use of the services provided by PrimeS4, including but not limited to SAP solutions for supply chain management. By engaging with our services, you agree to comply with and be bound by these terms.

Services Offered

PrimeS4 provides a range of SAP-based solutions, including but not limited to:

  • Integrated Business Planning (IBP) Solutions
  • Business Network Solutions
  • Transport Management and Yard Logistics
  • Healthcare Development Solutions
  • Solutions for the Food and Cosmetics Industry The services provided may be updated, modified, or discontinued at any time at the discretion of PrimeS4.

Client Responsibilities

Clients are responsible for:

  • Providing accurate information necessary for the implementation of SAP solutions.
  • Ensuring internal compliance with data and security standards.
  • Cooperating with PrimeS4 throughout the implementation, configuration, and evaluation process.

Service Implementation

PrimeS4 provides pre- and post-implementation evaluation services as part of its SAP solution offerings. The client acknowledges that project timelines are subject to change based on various factors, including system complexity, client readiness, and external dependencies.

Confidentiality

Both parties agree to maintain the confidentiality of sensitive information disclosed during the service period. PrimeS4 will take all necessary measures to protect the client’s data in accordance with industry standards.

Data Privacy

PrimeS4 adheres to strict data protection regulations, ensuring that client data is handled in compliance with applicable data privacy laws. The client’s use of SAP solutions will be subject to SAP’s terms and conditions regarding data processing and protection.

Payments and Fees

All fees and charges for services will be outlined in the relevant service agreement. Invoices are payable within [insert number] days of receipt. Late payments may incur additional charges.

Termination of Service

Either party may terminate the service agreement upon providing  written notice. Upon termination, all outstanding fees must be paid, and access to the SAP solutions provided by PrimeS4 will be revoked.

Limitation of Liability

PrimeS4 shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use the services provided. The total liability of PrimeS4 for any claims arising out of or relating to these terms will be limited to the fees paid by the client in the previous [insert period].
